We advise on board structure and composition: the right board size, the mix of executive and non-executive directors, and the skills, experience and diversity a board needs to govern effectively. We help design and establish board committees — audit, risk, remuneration, nominations and others — with clear mandates that avoid duplication and close governance gaps.

We also advise on the mechanics that keep a board functioning properly: quorum requirements, voting procedures, conflict-of-interest protocols in meetings, and the processes that make board decisions valid and defensible. Where structures have drifted out of step with good governance practice or the organisation's own growth, we help realign them.
